Please read these Terms of Use (“Terms” or “Terms of Use”) carefully before using the https://rts.edu website (the “Service”) operated by Reformed Theological Seminary, a Mississippi non-profit corporation (“us”, “we”, or “our”).

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users, and others who access or use the Service.

By accessing or using the Service you agree to be bound by these Terms. If you disagree with any part of these Terms, then you must not access or use the Service.

The Service is offered and available to users who are 13 years of age or older.  If you are under the age of 13, you must not access or use the Service.

Accessing the Website and Account Security

We reserve the right to withdraw or amend the Service, and any service or material we provide on the Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of the Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Service, or the entire Service, to users, including registered users.

To access the Service or some of the resources it offers, you may be asked to provide certain registration details or other information. It is a condition of your use of the Service that all the information you provide on the Service is correct, current, and complete. The Service and its entire content, features, and functionality are and will remain the exclusive property of Reformed Theological Seminary and its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.  These Terms of Use permit you to use the Service solely for your personal, non-commercial use.  You are not permitted to access or use the Service, or any of its content, features, or functionality, for any commercial purpose, unless expressly authorized by us.

Publications, articles, studies, books, interviews, lectures, sermons, and other materials (including print, audio, and video) published or accessible on the Service are covered by copyright.  You may access and download such materials for your personal, non-commercial use and for uses within the bounds of “fair use” under U.S. copyright law.  Otherwise, you must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any such material without our prior written permission.  In particular, permission must be obtained before any materials are distributed by sale or for any other commercial purpose.  You must not delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials on the Service.

Any use of the Service not expressly permitted by these Terms of Use is a breach of these Terms of Use and may violate copyright, trademark, and other laws.

You may use the Service only for lawful purposes and in accordance with these Terms of Use. You agree not to:

Online Payments

The online payment feature of the Service is operated by a third-party payment processor.  Your use of such payment feature is subject to the terms, conditions, and policies of the processor, in addition to these Terms of Use. Please read our processor’s privacy policy and terms of use, which can be accessed when you reach the payment screen, before utilizing the payment feature. We are not responsible for any acts, omissions, or errors of the processor and you agree to use the online payment feature of the Service at your own risk.

User Contributions

The Service may contain job listings and other interactive features that allow users to post content or materials (collectively, “User Contributions”) on or through the Service.  Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Service, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.  We are not responsible for any User Contributions, including their legality, reliability, or accuracy.  Furthermore, we do not have control over third parties who view User Contributions and assume no responsibility or liability for their actions.

Linking to the Service

You may link to the Service, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval, or endorsement on our part without our express written consent.

Indemnification

You agree to defend, indemnify, and hold harmless us, and our licensors, service providers, employees, agents, directors, faculty, successors, and assigns, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Use or your use of the Service, including any use of the Service’s content, materials, services and features, other than as expressly authorized in these Terms of Use.

Governing Law, Jurisdiction and Waiver of Jury Trial

All matters relating to the Service and these Terms of Use, and any dispute or claim arising therefrom or related thereto (in each case, including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of Mississippi without giving effect to any choice or conflict of law provision or rule (whether of the State of Mississippi or any other jurisdiction).

Any legal suit, action, or proceeding arising out of, or related to, these Terms of Use or the Service shall be instituted exclusively in the courts of the State of Mississippi located in the County of Madison, Mississippi or in the United States District Court for the Southern District of Mississippi, although we retain the right to bring any suit, action, or proceeding against you for breach of these Terms of Use in your country of residence or any other relevant country.  You waive any and all objections to the exercise of jurisdiction over you by such courts and to exclusive venue in such courts.

YOU AND WE EACH IRREVOCABLY AND UNCONDITIONALLY WAIVE, TO THE FULLEST EXTENT PERMITTED BY LAW, ANY RIGHT TO A TRIAL BY JURY IN ANY LEGAL SUIT, ACTION, OR PROCEEDING ARISING OUT OF, OR RELATED TO, THESE TERMS OF USE OR THE SERVICE.

Waiver, Severability, and Entire Agreement

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service, and supersede and replace any prior agreements, representations, or understandings regarding the Service.

Submissions

We appreciate users submitting ideas and suggestions to us through the Service.  Keep in mind, however, that we are under no obligation to treat such submissions as confidential and may, without restriction and without paying you any consideration, implement, or otherwise use and exploit, any such ideas and suggestions that you submit to us.

Changes

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If we make any changes to these Terms, we will post a notice on the Service that the Terms have been or will be modified, and the effective date of the changes.
